Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services offered by Meticulosity Media LLC (“Meticulosity Media,” “we,” “us,” or “our”), including our marketing-operations platform, MVP Pro (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

The Service

MVP Pro is a marketing-operations platform that helps brands and their agencies generate on-brand social content, route it through human review and approval, and publish approved content to connected social media accounts. Generation steps are AI-assisted, but the platform’s default posture is “draft and approve” — a human reviews and approves content before it is published.

We may add, change, or remove features of the Service at any time. Some engagements are governed by a separate written agreement (for example, an agency or pilot agreement); where such an agreement conflicts with these Terms, that agreement controls.

Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of any credentials used to access the Service and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Connected Social Accounts & Third-Party Platforms

The Service lets you connect third-party platform accounts — such as Instagram, Meta, and TikTok — so that content you approve can be published to them. You connect each account through that platform’s official authorization (OAuth) flow; we never ask for or store your platform passwords. By connecting an account, you authorize MVP Pro to access and publish to that account on your behalf, solely to perform the functions you request.

Your use of each connected platform remains subject to that platform’s own terms and policies, and you are responsible for ensuring that the content you create, approve, and publish complies with them. You may disconnect an account at any time through the Service or by revoking access in the platform’s own settings. We are not affiliated with, endorsed by, or responsible for any third-party platform.

AI-Generated Content

Portions of the Service use artificial intelligence to draft captions and related copy. AI output may contain errors, inaccuracies, or content that is not suitable for your brand. You are responsible for reviewing, editing, and approving all content before it is published, and you remain solely responsible for any content you choose to publish through the Service.

Acceptable Use

You agree not to use the Service to create, approve, or publish content that is unlawful, infringing, deceptive, harassing, hateful, or otherwise harmful; that violates the rights of others; that constitutes spam or platform manipulation; or that violates the terms or policies of any connected platform. You also agree not to misuse the Service — for example, by attempting to gain unauthorized access, interfering with its operation, or reverse-engineering it — or to use it on behalf of accounts you are not authorized to manage.

Your Content

You retain ownership of the brand assets, creatives, and content you provide to or create through the Service (“Your Content”). You grant Meticulosity Media a limited, non-exclusive license to host, process, transmit, and display Your Content as necessary to operate the Service and to publish content you approve to the destinations you choose. You represent that you have the rights necessary to grant this license and to publish Your Content.

Our Intellectual Property

The Service, including its software, design, and the Meticulosity Media name and marks, is owned by Meticulosity Media LLC and protected by intellectual-property laws. These Terms grant you no right to use our marks or proprietary materials except as necessary to use the Service as intended.

Fees

Where the Service is provided for a fee, the applicable fees, billing terms, and refund terms will be set out in a separate order or agreement between you and Meticulosity Media. Unless otherwise stated, fees are non-refundable except as required by law.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that content generated or published through it will achieve any particular result.

Limitation of Liability

To the maximum extent permitted by law, Meticulosity Media LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three months preceding the claim, or USD $100 if you paid nothing.

Indemnification

You agree to indemnify and hold harmless Meticulosity Media LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or of any third-party platform’s terms.

Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the United States and the state in which Meticulosity Media LLC is organized, without regard to its conflict-of-laws principles. Any dispute relating to these Terms or the Service will be resolved in the courts located in that jurisdiction.
